Adobe Now Owns Semrush: What the $1.9B Deal Means for Your AI Visibility Toolkit Bill

What Adobe bought, and when

On Nov. 19, 2025, Adobe and Semrush signed a definitive merger agreement (Adobe Newsroom, November 2025). Adobe agreed to pay $12.00 per share in cash, valuing Semrush at about $1.9 billion, a premium of roughly 77.5% over the stock’s closing price the day before the news broke.

The deal closed on April 28, 2026. Semrush Holdings, Inc. came off the New York Stock Exchange that same day and became a wholly owned subsidiary of Adobe (SEC Form 8-K, April 2026). The company now brands itself Semrush, an Adobe Company, and it sits inside Adobe’s CX Enterprise business, the same division that sells customer experience and content supply chain tools to large brands. Adobe says AI traffic to U.S. retail sites grew 269% year over year as of March 2026, and it wants Semrush’s visibility data to help its customers compete for that traffic (Adobe Newsroom, April 2026).

What changes for you, and what does not

Semrush published a customer FAQ the day the deal closed. On pricing, it says: “At this time, there will be no changes to our existing contracts and agreements.” It also promises no immediate change to features, support, or your point of contact (Semrush customer FAQ, April 2026).

Read that promise closely. It covers the contract you already signed. It says nothing about what you pay at your next renewal, or what a new customer pays to sign up today.

The pricing moves already tell part of the story. Semrush rebuilt its lineup around a bundle called Semrush One back in February 2026, months before Adobe’s deal even closed, and raised the entry-level Starter tier from $139 to $199 a month as part of that rebuild (SEMRUSH 2026 Price Hike coverage, February 2026). Semrush One now lists Starter at $199, Pro+ at $299, and Advanced at $549 a month, with a separate SEO-only tier still priced at $139.95 (Semrush pricing page, 2026). New enterprise product lines, including Enterprise SEO, Enterprise AIO, and Enterprise Site Intelligence, now sit in Semrush’s own navigation with custom pricing, and Adobe’s own LLM Optimizer is already being sold alongside Semrush’s AI tools.

None of that proves your bill is about to jump. But it shows the direction: more tiers, a bigger enterprise push, and a parent company built on annual contracts rather than month-to-month self-serve plans. That is the normal pattern once a point tool joins a platform sized for enterprise deals, and it is worth planning for before your renewal notice lands.

Questions to ask at your next Semrush renewal

  1. Does the “no changes” promise cover your renewal date, or only your current term? The FAQ language protects existing agreements. Ask your rep in writing whether that protection carries into your next signature.
  2. What would the Enterprise tier cost for the features you actually use? If a feature you rely on moves behind a custom-priced tier, get that number now, before you need it mid-contract.
  3. Is your AI visibility access still priced the way it was when you signed? Semrush has already moved AI tracking into pricier bundles once. Confirm your renewal quote reflects your current plan, not the newest one.
  4. Does your contract lock in your per-seat and per-domain add-on pricing for the next term? Extra users and extra domains have carried separate fees on Semrush for years. Ask whether those fees can change mid-contract.
  5. Who owns your account now, and where does a support ticket route? A larger parent company often means a longer chain between you and a decision-maker. Get a name and a direct contact.
  6. What does it cost you to leave if the next quote does not work for you? Know your contract’s notice period and any early-termination terms before you need them, not after.
